These Terms of Use (the “Terms”) govern your use of the website and application located athttps://dreamshoot.ai, https://dreamshoot.app and on app store and play store and any related sites, subdomains, products, services, APIs, mobile applications or features (collectively, “DreamShoot” or the “Platform”) owned and operated by Noosper AI (“Company,” “we,” “us,” or “our”).

By accessing or using DreamShoot, you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to certain programs or features. If you do not agree to all of these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By accessing or using DreamShoot, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, do not use our services.

2. User Accounts & Access

Registration: You must register an account and provide accurate, current, and complete information.

Account Security: You are responsible for all activity under your account and for safeguarding your credentials.

Free Plan: Allocated 50 free tokens every 12 hours (non‑accumulative). Non‑commercial use only.

Paid Plans: Monthly, quarterly or annual subscriptions provide additional tokens usable for commercial purposes.

3. Token Usage

Free Plan: Tokens auto-refresh every 12 hours and expire if unused within that interval.
Subscriptions: Token allotments are granted at the start of each billing cycle; usage may deplete them earlier. Top-ups may be purchased.
Model Costs: Different AI models consume different token amounts. Pricing and token costs may change to reflect operational costs and service quality.

4. Payment Terms

Billing: Subscription fees are billed in advance and are non‑refundable except as expressly stated.
Refunds: Possible only for confirmed platform faults materially impacting usage and reported promptly (subject to processing fee deductions). See our refund policy.
Discounts: Promotional pricing applies only to the initial term unless stated otherwise.
Auto‑Renewal: Plans renew automatically unless cancelled before renewal.

5. Intellectual Property

All platform software, models, interfaces, and branding are owned by Noosper AI or its licensors. Free‑plan generated content is licensed for personal, non‑commercial use. Paid subscribers receive a commercial license for assets they lawfully generate, subject to these Terms and applicable law. You are responsible for ensuring your use does not infringe third‑party rights.

6. Privacy & Data Use

Data Collection: As described in our Privacy Policy.
Use: Account management, feature delivery, improvement, compliance, and security.
Security: We employ industry‑appropriate safeguards but cannot guarantee absolute security.
Marketing: DreamShoot may use your company name or logo in case studies or promotional material unless you opt out by emailing us.

7. Prohibited Activities

You agree not to:

Create, upload, or distribute illegal content (including exploitation of minors or incitement of violence).
Create non‑consensual deepfakes or deceptive/defamatory synthetic media.
Infringe intellectual property (copyright, trademarks, proprietary styles, protected assets).
Upload explicit pornographic or overtly sexualized imagery.
Harass, impersonate, or misrepresent affiliation with others.
Disrupt or attempt to disrupt service integrity (spam, DDoS, malware, automated scraping).
Bypass, probe, or disable security / usage controls.
Harvest data or use automated agents (bots, spiders) without written consent.

8. Model Training Restrictions

8.1 Prohibited Training Content

Content involving minors in harmful, violent, or sexual contexts.
Public figures (celebrities, politicians) without appropriate authorization.
Private individuals without explicit consent.
Protected IP: copyrighted characters, distinct living artists’ styles, logos, branded products, patented designs.
Explicit or pornographic material.
Hateful, discriminatory, or extremist content.
Illegal activity depictions intended to promote wrongdoing.
Deceptive or misinformation training sets (manipulative deepfakes).

8.2 DreamShoot Rights

Automated & manual screening of training data.
Reject or remove violating datasets or models without notice.
Force models to private status or delete them.
Deny token compensation for later‑restricted / deleted models.

8.3 User Responsibilities

Maintain rights & consents for all uploaded training material.
Retain backups of datasets (we are not an archival service).
Monitor and responsibly use model outputs.
Report unsafe or infringing outputs promptly.

9. Modification of Terms & Services

We may modify these Terms or any feature at any time. Continued use constitutes acceptance of changes. Material changes will be communicated where required by law.

10. Termination

We may suspend or terminate access (with or without notice) for any breach or risk. Upon termination, rights granted to you cease immediately.

11. Disclaimer & Limitation of Liability

DreamShoot is provided “as is” and “as available” without warranties of any kind (express or implied). To the maximum extent permitted by law, we disclaim liability for indirect, incidental, consequential, special, punitive or exemplary damages, or lost profits, arising from or related to use of the Platform. Some jurisdictions do not allow certain disclaimers—your rights may vary.

12. Dispute Resolution

Arbitration: Disputes will be resolved by confidential binding arbitration where permitted.
Individual Basis: No class arbitrations or representative actions.
No Jury Trial: You waive the right to a jury trial.
IP Enforcement: We may seek injunctive or equitable relief in court to protect intellectual property.

13. Data Deletion

Requests: Email deletion requests to dreamshootai@gmail.com.
Timeline: Processed within a reasonable period (typically < 30 days) unless extended by law.
Irreversibility: Deletion permanently removes account data & generated assets (except public community items).
Legal Retention: Certain data may persist for compliance, dispute resolution, fraud prevention.
Backups: Residual encrypted backups expire on normal rotation.
Public Content: Public / community posts may remain accessible after account deletion.

14. Platform Changes & Access

Features may be added, modified, or removed at our discretion.
We may discontinue any part of the Platform without liability.
On termination initiated by us (not for breach), pro‑rata subscription refunds may be issued.

15. User Responsibility for Generated Content

You are solely responsible for outputs you generate, share, publish, or distribute. You represent that use of generated content complies with law and third‑party rights. You agree to indemnify and hold Noosper AI harmless from claims arising from (a) generated content, (b) training data you submit, (c) misuse of the Platform, (d) infringement allegations tied to your use or distribution of outputs.

16. API Credit Expiration & Usage

Validity: Purchased API credits expire 12 months after purchase.
Non‑Refundable: Expired or unused credits are forfeited; no rollover.
Notices: Expiration reminders may be sent ~90, 30, and 7 days prior.
No Extension: Except for documented service outages > 72 consecutive hours (at our discretion).
Commercial Video Eligibility: Only designated commercial top‑up tokens can be used for video models; all subject to expiration policy.

By using DreamShoot you acknowledge you have read, understood, and agreed to these Terms.
